Terms of Use
1. Who you're dealing with
KitaAgad Payroll is a product of Callden Works MNL ("we", "us"). These terms apply when you buy or use it. Buying the product means you accept them.
2. What you're buying
KitaAgad Payroll is a set of spreadsheet files and written guides — Excel workbooks, a Google Sheets version you copy to your own account, and PDF documentation. It is a one-time purchase with no recurring fee, and no subscription to cancel.
It is software you operate yourself. It is not a service where we run your payroll for you, and it does not file anything with any government agency on your behalf.
3. Your licence
You get a perpetual, non-exclusive, non-transferable licence to use KitaAgad Payroll for one business that you own or operate, for as many of that business's employees as you need. You may make copies for your own backups and use it across your own devices.
What you may not do
- Resell, sublicense, rent, or redistribute the files, in whole or in part
- Share your copy or your vault link with people outside your business
- Publish it anywhere others can download it
- Present it as your own product, or sell it with our branding removed
- Use it as the basis of a competing template or paid product
- Circumvent the sheet protection in order to redistribute the underlying formulas
If you run multiple separate businesses and want to use it for each, message us — we'll sort out a fair arrangement rather than have you guess.
4. Who owns what
We keep all intellectual property rights in KitaAgad Payroll: the workbooks, formulas, layouts, guides, and branding. You own your own data — every employee record, rate, and payroll figure you enter is yours, stays in your own file, and is never sent to us.
5. This is not tax, legal, or accounting advice
KitaAgad Payroll automates payroll math using SSS, PhilHealth, Pag-IBIG, and BIR rules as we understand them at the time of release. It is a calculation tool, not professional advice, and it does not make you compliant on its own.
Contribution tables and tax rules change. You are responsible for checking the figures against the current issuances of the relevant agency, and for what you actually file and pay. For anything consequential, consult a licensed accountant.
We update the workbooks when statutory rates change, but we can't guarantee an update lands before a given payroll run or deadline.
6. Delivery and access
Access is delivered immediately after payment through your vault link, and you can recover it any time using the email address you paid with. Keep that link private — anyone who has it can download your files.
We intend to keep vault downloads available indefinitely, but we can't promise a specific hosting provider forever. Download and keep your own copies. Once a file is on your machine or in your Drive, it works whether or not this site is up.
7. Refunds
Full 30-day refund, with one condition around customized orders. The details are on the Refund Policy page, which forms part of these terms.
8. No warranty, and limits on liability
We build this carefully and test it, but the product is provided "as is". We don't warrant that it is error-free or fits every business's specific situation.
To the fullest extent Philippine law allows, our total liability for any claim connected to the product is limited to the amount you actually paid for it. We are not liable for indirect or consequential losses — including penalties, surcharges, or interest assessed against you, lost profit, or lost data.
In plain terms: check your payroll numbers before you pay your people or file anything. This tool computes; you approve.
9. Support
Support covers helping you use the product as designed — setup, how a tab works, fixing an actual defect. It does not include bespoke customization, unless separately agreed. If you do agree to customization, note that it voids your refund; see the Refund Policy.
10. Changes to these terms
We may update these terms as the product changes. The "last updated" date above always reflects the current version, and changes are not retroactive — the terms in force when you bought are the ones that govern your purchase.
11. Governing law
These terms are governed by the laws of the Republic of the Philippines, and disputes fall to the courts of the Philippines. Nothing here removes rights you have under Philippine consumer law.
